Terms Of Service
1. About these terms
These Terms of Service (”Terms”) apply to your use of the World Consult website and to the business consulting services we provide. By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
Who we are World Consult (”we”, ”us”, ”our”) 35 Haydock Road, England, England, OX26 1BT, United Kingdom Email: support@worldconsult.shop
”You” or ”the Client” means the person or organisation using our website or engaging our services.
2. Our services
We provide business consulting services, which may include strategy, operations, financial advisory, organisational development, technology, and marketing advice. The specific scope of each engagement will be set out in a proposal, statement of work, or written agreement (”Engagement Letter”) agreed between us and you.
If there is a conflict between these Terms and an Engagement Letter, the Engagement Letter prevails for that engagement, unless it states otherwise.
3. Engagement and changes to scope
- An engagement begins when both parties have accepted the Engagement Letter in writing (email is sufficient) or when you instruct us to begin work.
- Any change to scope, timelines, or deliverables must be agreed in writing. Additional work may incur additional fees.
- Proposals and quotations are valid for 30 days unless stated otherwise.
4. Client responsibilities
To help us deliver the services, you agree to:
- provide accurate, complete, and timely information and access to relevant people and materials
- make decisions and give approvals promptly
- ensure that you have the right to share any information or materials you provide to us
- let us know promptly of anything that may affect the services
Delays or inaccuracies caused by missing or late input from you may affect timelines and fees, and we are not responsible for resulting delays.
5. Fees and payment
- Fees, expenses, and payment schedule will be set out in the Engagement Letter. Unless stated otherwise, fees are hourly and are quoted exclusive of VAT, which is added where applicable.
- We will invoice you in advance and invoices are payable within 1 day of the invoice date.
- Reasonable pre-approved expenses (such as travel) will be charged at cost.
- If you do not pay on time, we may charge interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend the services until all overdue amounts are paid.
- If you dispute an invoice, please tell us in writing within 7 days and pay the undisputed portion on time.
6. Cancellation and termination
- Either party may terminate an engagement by giving 14 days’ written notice, unless the Engagement Letter says otherwise.
- Either party may terminate immediately by written notice if the other commits a material breach that is not remedied within 14 days of being notified, or becomes insolvent.
- On termination, you must pay for all services performed and expenses incurred up to the termination date, plus any non-cancellable commitments we have made for you.
- Clauses that by their nature should survive termination (including payment, confidentiality, intellectual property, liability, and governing law) will continue to apply.
If you are an individual acting outside your trade, business, or profession (a consumer), you may have additional statutory rights, including cancellation rights under the Consumer Contracts Regulations 2013. These Terms do not limit those rights. Please contact us and we will explain how they apply.
7. No guarantee of results
We will provide our services with reasonable skill and care. Consulting involves advice and recommendations based on the information available and on business conditions that can change. We do not guarantee any particular business, financial, or commercial outcome. Decisions to act on our advice are yours, and you remain responsible for them.
Our advice is not legal, tax, accounting, or regulated financial advice unless expressly agreed in writing. You should take separate professional advice where appropriate.
8. Confidentiality
Each party will keep confidential all non-public information received from the other in connection with the services, use it only for the purposes of the engagement, and not disclose it to anyone except employees, advisers, or subcontractors who need to know it and are bound by equivalent obligations. This does not apply to information that is public through no fault of the recipient, was already lawfully known to it, is independently developed, or must be disclosed by law or by a regulator.
These obligations continue for 5 years after the engagement ends.
9. Intellectual property
- Our materials: We retain ownership of our pre-existing materials, methods, tools, templates, frameworks, and know-how, and any general knowledge or experience gained during an engagement.
- Deliverables: Subject to full payment, we grant you a non-exclusive, perpetual, non-transferable licence to use the final deliverables produced specifically for you for your internal business purpose.
- Your materials: You retain ownership of the materials and data you provide, and grant us a licence to use them solely to provide the services.
- Website content: All content on our website, including text, graphics, logos, and design, is owned by or licensed to us and protected by copyright and other laws. You may view and print pages for your own personal or internal business use, but may not copy, reproduce, or distribute them without our written permission.
10. Data protection
We handle personal information in accordance with our Privacy Policy and applicable UK data protection law. Where we process personal data on your behalf as part of an engagement, we will do so only on your documented instructions and the parties will agree a data processing agreement where required.
11. Website use
When using our website, you agree not to:
- use it unlawfully or in any way that breaches these Terms
- attempt to gain unauthorised access to our systems, or introduce viruses or harmful code
- copy or scrape content without permission
- submit false, misleading, or offensive information
We aim to keep the website accurate and available, but we do not guarantee that it will be error-free or uninterrupted, and we may change or suspend it at any time. Information on the website is general in nature and is not a substitute for tailored advice. Our website may link to third-party sites, for which we are not responsible.
12. Limitation of liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence
- fraud or fraudulent misrepresentation
- any other liability that cannot lawfully be excluded or limited
Subject to the above:
- we are not liable for any loss of profit, revenue, business, goodwill, or anticipated savings, or for any indirect or consequential loss, however arising
- our total liability to you arising from or in connection with an engagement, whether in contract, tort (including negligence).
- we are not liable for loss caused by inaccurate, incomplete, or late information provided by you, or by your decision to act (or not act) on our recommendations
13. Subcontractors and personnel
We may use associates or subcontractors to help deliver the services. We remain responsible for their work under these Terms. Neither party will, during an engagement and for 6 months afterwards, directly solicit for employment the other’s personnel who worked on the engagement, other than through general advertising.
14. Force majeure
Neither party is liable for delay or failure to perform obligations (other than payment) caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, power or network failures, or strikes.
15. General
- Entire agreement: These Terms, the Engagement Letter, and any documents referred to in them form the whole agreement between us and replace any earlier discussions or agreements on the same subject.
- Changes: We may update these Terms from time to time. The version in force when an engagement begins applies to that engagement, and updates to the website terms apply from the date they are published.
- Assignment: You may not transfer your rights or obligations without our written consent.
- Severability: If any provision is found to be unenforceable, the rest remains in effect.
- No waiver: A delay or failure to enforce a right is not a waiver of it.
- Third parties: Only the parties to these Terms may enforce them. The Contracts (Rights of Third Parties) Act 1999 does not give rights to anyone else.
- Notices: Notices must be in writing and sent by email or post to the addresses given in the Engagement Letter or in Section 1.
16. Governing law and disputes
These Terms and any dispute or claim arising from them (including non-contractual disputes) are governed by the laws of England and Wales. We encourage you to contact us first so we can try to resolve any concern informally. If we cannot, the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
